Atom Accelerator DAO (AADAO) Terms and Services

By submitting information or participating in ATOM Accelerator DAO (AADAO) Grants Program (or any Program or Project under AADAO), you agree that you have read, understood and agree to be bound by this Agreement. If you do not agree, please do not submit information for or participate in AADAO’s Grants Program.
A1. Introduction
These terms and conditions govern the submission to and participation in AADAO’s Grant Program and constitutes a binding Agreement between AADAO and together with any person that is involved in any grants Program decision-making process and you (the applicant or grantee), whether personally or on behalf of an entity.
AADAO reserves the right to modify these Terms and Conditions at its sole discretion. In the event of changes, the date at the top of these Terms and Conditions will be updated, and it is your responsibility to stay informed. The amended Terms and Conditions will take immediate effect, unless otherwise stated, and your continued participation in the Grants Program post-changes indicates acceptance of the updated terms.
A2. Eligibility
You must comply with the following in order to participate in AADAO’s Grant Program and when submitting information for and throughout your participation in the Grant Program or any Project under AADAO:
a) As an individual, you must be of legal age in the jurisdiction in which you reside and must have legal capacity to enter into these Terms and Conditions and be bound by them;
b) As an entity, you must have legal authority to accept these Terms and Conditions on that entity’s behalf;
c) You must not reside in a jurisdiction where the holding and transfer of cryptocurrency is illegal or requires a special license or authorization that you do not possess.
d) You must not use funds provided in this agreement directly or indirectly in support of activities, persons or entities prohibited by US, UK, or United Nations laws related to combating terrorism. You do not reside or you are not a national or agent of Cuba, Iran, Syria, North Korea, Sudan and the Crimea Region and so-called Luhansk and Donetsk People’s Republics of Ukraine or any other country to which the United States, the United Kingdom or the European Union embargoes goods or imposes similar sanctions;
e) In carrying out the Project within the scope of the Grants Program, You will comply with all applicable laws, regulations, and rules and will not infringe, misappropriate, or violate the intellectual property, privacy, or publicity rights of any third party.
A3. Availability of Funds and Access
Notwithstanding anything to the contrary contained in these terms and conditions, AADAO’s obligations herein are subject to sufficient funds being made available by the Cosmos Hub during the Grant Program duration. Furthermore, AADAO retains the right to terminate access to AADAO’s Grants Program without liability or obligation to you at any time and for any reason.
A4. Use of Funds
The Recipient may not use funds provided by AADAO for any purpose other than the Grant on the application form or other document approved by AADAO. AADAO grants may not be used for expenses incurred prior to your grant application date. At AADAO’s request, Recipient will repay any portion of Grant Funds and/or Income used or committed in material breach of these terms and conditions, as determined by AADAO in its discretion.
A5. Payment
Release of any payment is contingent upon the acceptance by AADAO of Project Milestones or deliverables achieved. AADAO reserves the right, at any time, to increase or decrease the amount, number and frequency of payments.
A6. Right to Discontinue Funding or Rescind Payments
AADAO may modify, suspend or cancel any payment of grant funds or these terms and conditions at any time, without notice and without any further obligation to the Recipient, or refuse to release all or part of AADAO Funds. Criteria that will influence the decision of AADAO include, but are not limited to:
a) the Recipient fails to respect these terms and conditions herein;
b) the Recipient fails to use AADAO funds solely to implement the scope of grant agreed with AADAO;
c) AADAO determines that continuing the Grant is not in the Cosmos Hub’s community’ best interest;
d) or AADAO is not reasonably satisfied with the Recipient’s progress on the Project.
In the event AADAO terminates the Grant, the Recipient shall:
a) be liable to reimburse AADAO for the value of all funds granted to the Recipient by AADAO, which has been improperly used; and
b) return to AADAO any AADAO Funds not yet spent or irrevocably committed. The Recipient will notify AADAO immediately at such time as it becomes aware of any actual, possible or foreseeable breach of these terms and conditions.
A7. Acknowledgement / Use of Name
Grantee will acknowledge AADAO’s funding in an appropriate manner in all publications, press releases, talks, interviews, audio recordings, films/video, and other media and activities related to or resulting from grant-funded activities.
Any other use of AADAO’s name or logo is subject to the prior written approval of AADAO.
AADAO may include information relating to the grant, including the name of grantee, on its website or in periodic public reports, press releases, or other public materials, without further compensation.
A8. No Legal Partnership
The Recipient undertakes the scope of Grant or Project on its own behalf and not on behalf of AADAO, and this Agreement and AADAO Funds flowing there from shall in no way be construed as creating the relationship of principal and agent, of partnership in law; or of joint venture as between AADAO and the Recipient or any other person involved in the Project.
A9. Limitation of Liability and Content
AADAO assumes no liability with respect to any loss or damage to any person, entity or property arising from the Grant Program or Project. We make no guarantees or warranties regarding any grant amounts or services provided by us, our service providers, collaborators, or other third parties involved in the Grants Program. We bear no responsibility for activities between you and our service providers, collaborators, or third parties resulting from your participation in AADAO’s Grant Program. No specific outcomes are guaranteed from the Grants Program or this Agreement.
You give AADAO an everlasting, irrevocable license to use and share for free any content you create or provide AADAO in connection with your participation in AADAO’s Grant Program. Furthermore, you confirm and that you have obtained all required permissions for us to use such content without owing compensation to you or any third party.
You acknowledge that AADAO may develop or receive information similar to what you provide for the Grants Program. These Terms do not restrict AADAOs from creating, marketing, or supporting any concepts, systems, or techniques, even if they overlap with your submissions.
A10. Survival
All representations, warranties, disclaimers and limitation of liability contained in terms and conditions shall survive your participation in the AADAO Grants Program.
A11. Conflicts and Amendments
These terms and conditions supersedes all prior and contemporaneous agreements concerning its subject matter. If there is a conflict between these terms and conditions and others Agreements or Documents, these terms and conditions herein will prevail. Except as specifically permitted in these terms and conditions, no modification, amendment, or waiver of any provision of these terms and conditions will be effective unless in writing and signed by authorized representatives of AADAO.
